Pianoman Terms of Use

• We grant you a personal, non-transferable, non-exclusive right to use the App in accordance with these Terms.
• The songs bundled with the App, its piano sounds, screens and program belong to us or to third parties who license them to us. You may not copy, modify or distribute them beyond what using the App requires.
• You may not disassemble, decompile or reverse engineer the App, or extract parts of it for use elsewhere.

In these Terms:

• "Theme" means a song's main melody. One you play on the keyboard and record in the App is a "recorded theme".
• "Chord chart" means a chart of a song's chord progression.
• "Your content" means the chord charts you bring into the App, your recorded themes, your nickname, and anything else you enter into or create with the App.
• "Generated performance" means the improvisation and accompaniment the App makes from a chord chart and plays on the spot.
• "Sharing" means the App's feature that sends your song (a chord chart and a recorded theme) to our servers and makes a share link.
• "Share link" means the URL of a shared song (one starting with https://www.musicflow.tokyo/pianoman/s/). Opened, it plays the song in that person's App.
• "Nickname" means the name you register with us, shown with the songs you share.
• "The Street" means the App's screen "On the Street", which lists the songs bundled with the App and the songs you have heard from share links.
• "Like" means the mark a user can put on a song on the Street; each song shows how many people have.
• "Report" means the App's feature for telling us that a song shared by another user is a problem.
• "Mute" means the App's feature that hides another user's shared songs on your device.
• "Pianoman Pro" means the App's additional features available through an in-app purchase.

• The copyright in your content, and the performer's rights in your recordings, remain yours. We do not acquire them.
• You warrant that your content does not infringe anyone's rights and does not breach these Terms.

• You may share from the App only songs you composed yourself, or songs whose copyright term has expired.
• Do not share other people's work, such as the melody of a copyrighted song.
• You are responsible for the songs you share. We do not review songs before they are shared.

When you share a song, you grant us a non-exclusive, worldwide, perpetual and sublicensable licence, for which no royalty is paid, to use that song (its chord chart and recorded theme) and your nickname. This licence covers:

• storing and copying the song on our servers
• transmitting it so that it plays in the App of anyone who opens its share link
• arranging it and making generated performances from its chord chart, so that the App can play it
• listing it on the Street with its title and your nickname, and counting its likes
• providing, operating and improving the App and its services
• You agree not to assert moral rights, as author or as performer, in a shared song against us or against users of the App.
• After you take a song down, this licence continues to cover uses made before then and copies that had already reached other users' devices.

• Generated performances belong to us.
• You may listen to generated performances in the App, and distribute them together with your recorded theme as a share link or a share video. Please ask us before using generated performances for any other purpose.

• Songs by other users opened from a share link may be used only to listen to them in the App. You may not take them out of the App or republish them.
• If you think a song shared by another user is a problem, you can report it. A song that gathers a number of reports stops being published automatically. Songs by a user you mute are no longer shown on your device.

• Your nickname is shared with our other apps (Cube, Jigsaw, Nurie and others). Do not use your real name or other personal information as a nickname.
• Likes and reports are made with an anonymous, nameless ID. To delete this ID, or to take down a song you shared, contact us as set out in section 16.

We have no tolerance for objectionable content or for users who abuse others. You must not:

• infringe anyone's copyright, performer's rights, trademarks, privacy or other rights
• share offensive or discriminatory content, or content contrary to public order and morals
• share the same content repeatedly or otherwise spam
• access the App or our servers without authorisation, or place an excessive load on them
• use the App for any unlawful purpose

• We review reported songs promptly (as a rule within 24 hours) and may stop publishing or delete, without notice, songs that breach these Terms or that a rights holder asks us to remove.
• We may suspend sharing, likes and other features for users who breach these Terms.

• Pianoman Pro is available through an in-app purchase.
• Purchases, payment and refunds are governed by the terms of Apple's App Store. We cannot process refunds.

• iReal Pro is a third-party app. Only your own charts may be brought into the App. Your use of iReal Pro is governed by its own terms.
• The App Store, iCloud, Firebase (Google) and other third-party services the App relies on are governed by their own terms.

• The App and its services are provided as is. We do not warrant that the App will run without interruption or that shared songs will remain stored. The services may change or end without notice.
• We are not liable for disputes or damage arising from your infringement of someone else's rights; you will resolve them at your own responsibility and expense.
• Except where we act with intent or gross negligence, our liability is limited to the amount you paid us in connection with the App in the preceding twelve months.

We may change these Terms. Changed Terms take effect when posted on this page. Using the App or sharing a song after a change means you agree to the changed Terms.

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute concerning these Terms or the App.
